# Fear City Licensing Details

Stephen Bliss / Fear City grants to NFT holders a perpetual, worldwide, non-exclusive, royalty-free license to create derivative content, with the right to sublicense through multiple tiers.\
\
\
Fear City NFT holders who create derivative content, hereafter known as ‘Creators’, agree not to exercise any license rights herein to create, endorse, support, promote or condone any content, material or speech that is defamatory, obscene, pornographic, indecent, abusive, offensive, harassing, violent, hateful, racist, discriminatory, inflammatory or otherwise objectionable or inappropriate as determined by Fear City at its discretion.\

Creator will provide Fear City all derivative content, hereafter known as “NFT Content” in accordance with any schedules or other specifications, as may be mutually agreed upon between Creator and Fear City in writing.\
\
\
Following the Initial Sale of an NFT, Fear City does not have the obligation to maintain any connection or link between a purchased NFT and any NFT Content, unless it so chooses.\
\
\
Creator is responsible for obtaining all rights to the NFT Content for any real world benefits that Creator sells or lists in connection with the sale of Creator’s NFT / Content, as applicable, including, but not limited to: (i) clearing and obtaining any rights in connection with the NFT / Content, including any music performance, publishing, and / or synchronization rights and payment of royalties to any performing rights organizations. (ii) acquiring any services or materials needed in connection with the Creator’s NFTs and benefits offered to Purchasers; and (iii) the costs and compliance for the benefits (“Included Benefits”). \

NFT Content will not infringe any intellectual property rights of any third party or any right of privacy or publicity, or contain any libelous, defamatory, obscene or unlawful material, or otherwise violate or infringe any other right of any third party.\
\
\
In the event that the NFT Content is embodied in a physical, tangible form (“Physical NFT Goods”), Creator acknowledges and agrees that Creator is solely responsible for the direct fulfillment of such Physical NFT Goods to the Purchaser within its published timeframe.\
\
\
Creator will include for each unit of Physical NFT Goods all disclaimers (including any product tags) that may be required under applicable laws, regulations, self-regulatory guidelines and industry standards including without limitation, regarding product safety in all applicable jurisdictions (“Applicable Product Safety Laws”).\
\
\
Creator represents and warrants that the Physical NFT Goods will be free from defects in materials or workmanship; (ii) the Physical NFT Goods are and will be safe for normal use (iii) the Physical NFT Goods and the manufacture, sale, storage, shipping, transportation and billing for the Physical NFT Goods comply with all provisions of applicable law, safety and labeling standards and all applicable promulgations of governmental authority.
